It is important to remember that an NDA is a genuine legally binding contract and it is not appropriate to request it ‘upfront’. In fact, the most common mistake is asking for an NDA indiscriminately before opening a dialogue with the supplier. It should be remembered that it is essential to acquire the broadest possible knowledge of what is commonly the state of the art in the field relevant to your innovative idea, which will be a fundamental aspect for any potential patent filing and its robustness.
The supplier must be able to assess their suitability for developing the client’s idea. For this reason, at least in the initial stages, the client should provide at least conceptual details about what their ‘invention’ is, what has already been developed of this idea, and what is expected to be developed by the supplier.
