NDA
It is important to remember that the NDA is a real binding legal contract and that it is not correct to ask for it ”a priori,” in fact the most common mistake is to ask for an NDA regardless before opening a dialogue with the supplier. It should be remembered that it is essential to acquire as broad a knowledge as possible of what is commonly the state of the art in the field pertaining to one’s innovative idea, which in any case will be a key aspect of eventual patent deposition and related robustness.
The supplier must be able to assess its suitability for the development of the client’s idea. For this reason, at least in the initial stages, it is good for the client to provide at least conceptual details about what his ”invention” is, what has already been developed of this idea, and what is expected to be developed by the supplier.
